Terms of Service
Conditions for using this site, requesting services, and discussing Valmera software or professional services.
Last updated: 08.31.2026 | Louisville, Kentucky
Back to home1. Acceptance and scope
These Terms of Service govern access to and use of the public Valmera Labs website. By using this website, you agree to use it lawfully and in accordance with these terms. The website is informational and provides a means to submit inquiries. A separately available customer workspace, service environment, subscription, or professional-service engagement may require an additional written agreement. If you do not agree, do not use the website.
2. Business and product information
Valmera Labs is a software development business established on August 31, 2026, and based in Louisville, Kentucky. The site presents the Valmera visual workflow platform concept for board-based team coordination. Product screens and example tasks are interface representations rather than evidence of a currently deployed account or a commitment to deliver every described capability. Availability and technical scope must be confirmed before purchase or use.
3. Requests for professional services
Sending an inquiry does not create a binding appointment, order, paid subscription, or acceptance of any service agreement. Valmera Labs may follow up to understand the request and determine whether the requested service is available. Any service work requires agreed scope, deliverables, timing, fees, and applicable payment terms. Listed professional-service fees are starting estimates, not guaranteed fixed total quotes.
4. No current subscription commitments
No subscription price or recurring billing arrangement is established by this public website. Any future subscription will require the customer to review a separate plan description and applicable billing and cancellation terms before being charged. A product inquiry does not authorize automatic payments. Do not provide payment-card numbers in the website inquiry form.
5. Permitted website use
You may view website pages for legitimate informational and commercial-evaluation purposes. You must not interfere with operation, conduct automated scraping that places unreasonable load on the infrastructure, bypass security, attempt unauthorized access, impersonate others, transmit malware, or submit unlawful, abusive, or fraudulent material. We may limit access in response to misuse where legally permitted.
6. Intellectual property and content
The Valmera name, the site text, layouts, design, software concepts, and other materials are owned by their respective rights holders and protected by applicable intellectual property laws. You may not copy, redistribute, reverse engineer, sublicense, or commercially exploit protected materials except as allowed by law or a separate written permission. Trademarks and third-party rights remain with their owners.
7. Information you submit
You represent that you have the right to provide details submitted through the inquiry form and that the information is reasonably accurate. You retain ownership of materials you submit, subject to the limited permission necessary for Valmera Labs and its providers to receive, review, store, and respond to the inquiry. Do not provide trade secrets or confidential materials unless an appropriate confidentiality arrangement is in place.
8. Product and platform terms
Any consultation or limited product access, if offered, may include functionality limitations, separate access credentials, permitted-use restrictions, and a defined availability period. Customer task data, user-generated content, security roles, export, data deletion, and service levels must be addressed in specific platform agreements before the product is launched for customers. Nothing on this public website promises uninterrupted platform access.
9. Disclaimers
This website and its informational materials are provided on an as-available basis to the extent permitted by applicable law. Illustrations, estimates, statements of planned design, and descriptions may change. We do not guarantee that a stated feature is available without verification or that a proposed workflow will achieve a particular financial, operational, or business result. Statutory guarantees that cannot be excluded remain unaffected.
10. Limits of liability
To the maximum extent permitted by applicable law, Valmera Labs is not liable for indirect, incidental, consequential, special, or punitive damages caused by use of the informational website. Nothing in these terms excludes or restricts liability to the extent doing so would be unlawful, including liability that cannot be excluded under applicable consumer or other mandatory protections. Additional negotiated liability rules may apply to separately contracted services.
11. Governing rules and disputes
Applicable law and jurisdiction may depend on the user, the transaction, mandatory legal protections, and any later written service agreement. In the absence of a contrary applicable rule or executed agreement, these website terms are intended to be interpreted under the laws of Kentucky, without displacing mandatory rights afforded by law. Contact us first so a website-related concern can be reviewed.
12. Updates and contact
We may revise these Terms as the public website, product, or services evolve. The revised version should display a new update date. Continued use after a valid update constitutes acceptance where allowed by law. If you are evaluating a paid engagement, request written terms before relying on any pricing or timing representation.
13. Scope of professional services
Valmera Labs offers workflow discovery, Kanban board setup planning, team onboarding, process documentation, workflow transition planning, and software consultation. Descriptions on the website explain the kinds of work that may be requested; they are not promises that every specific integration, milestone, or deliverable is included in an engagement. Each project should be described in a written statement of work, proposal, order form, or other separately accepted agreement identifying scope, fees when applicable, client inputs, working assumptions, delivery arrangements, and responsibilities.
14. Requests, quotes, and acceptance
A visitor who completes the project inquiry form is requesting a conversation and is not placing a binding purchase order. A quote is not binding until accepted in writing under the terms stated in that quote or signed project agreement. Valmera Labs may request additional information, decline a request, or propose a different scope where the original request is incomplete, unsuitable, unlawful, or beyond current capacity. Do not treat the public form’s acknowledgment as approval of a project, commitment to specific delivery dates, or acceptance of confidential information.
15. Customer materials and access
Where an engagement requires the customer to provide workflow records, system details, files, or access, the customer must have a lawful right to share those materials and authorize the permitted work. The customer is responsible for obtaining necessary consents, maintaining its own independent backups, supplying complete and accurate instructions, and avoiding exposure of credentials through public inquiry forms. Access to production systems should be granted only under separate documented arrangements with appropriately limited permissions.
16. Project changes and cooperation
Projects can depend on discovery findings and the condition of existing processes or systems. The parties should document material changes in scope, delivery expectations, customer-supplied inputs, integrations, and fees before additional work begins. Delays in decisions, required approvals, or access can affect the delivery schedule. Neither website descriptions nor preliminary discussions replace a mutually agreed project plan.
17. Intellectual property and licensing arrangements
Valmera Labs retains ownership of its pre-existing technology, methods, software, documentation, designs, brand assets, and reusable development materials except to the extent a separately signed agreement states otherwise. A customer retains ownership of materials lawfully provided by that customer. Rights in custom work product, source code, configuration documentation, usage licenses, and third-party components should be addressed explicitly in the written project agreement. No website visit or contact request transfers ownership of Valmera software.
18. Confidentiality and sensitive information
Do not submit passwords, payment credentials, regulated health information, secret access tokens, or confidential customer lists through the public request form. When a project requires non-public business information, the parties should agree on appropriate confidentiality obligations and secure exchange channels before providing it. Confidentiality obligations, their duration, exclusions, permitted recipients, and legal-disclosure procedures depend on the applicable signed agreement.
19. Service delivery, support, and third parties
Availability of any hosted software workspace, subscription, technical support plan, or integrations is governed by the terms expressly offered for that service and not implied by generic site language. Valmera Labs is not responsible for the independent actions of third-party platforms except as agreed or required by law. Service dependencies, acceptance criteria, support hours, data export, and offboarding should be specified in the applicable agreement when material.
20. Taxes, invoices, and payment terms
No public service prices or checkout are offered on this website. If a project is agreed, its written commercial terms should specify fees, invoicing milestones, due dates, expenses, applicable taxes, disputed invoices, and any consequences of nonpayment. An inquiry form submission alone does not authorize a charge. Separate subscription billing conditions are relevant only if a paid subscription is actually introduced and the customer expressly accepts that offer.
21. Dispute handling and interpretation
Before filing a formal dispute, parties to a professional-services agreement should first attempt to resolve the issue through the contacts identified in their written agreement where appropriate. Nothing in these website terms is intended to remove non-waivable consumer or statutory rights. If there is a conflict between these general website terms and a signed agreement for a specific project, the signed agreement governs that project to the extent it expressly addresses the conflicting subject.
